Mr. Midnight Gaming ("Mr. Midnight," "we," "us," or "our") operates the website at mrmidnight.com and its related subdomains, content, and services (collectively, the "Site"). The Site is owned and operated by Midnight Gaming LLC, a Wyoming limited liability company.
These Terms of Service ("Terms") govern your access to and use of the Site. By accessing the Site, creating an account, submitting content, making a purchase, or otherwise using any feature, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Who May Use the Site
1.1 Age requirement. You must be at least 13 years old to use the Site. If you are under 18 (or the age of majority in your jurisdiction), you may use the Site only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms. Pursuant to 47 U.S.C. Section 230(d), we hereby notify you that parental control protections (such as commercially available computer hardware, software, or filtering services) may help you limit access to material that is harmful to minors. Information about current providers of such protections is available through a web search or through the parental-control settings built into most devices and operating systems. Certain features — including account registration, purchases, and community participation — may carry higher age requirements stated at the point of use.
1.2 Eligibility. By using the Site you represent that you meet the age requirement, that you are not barred from using the Site under the laws of your jurisdiction, and that you will comply with these Terms and all applicable laws.
1.3 Accounts. Some features require a registered account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts as described in Section 10.
2. The Site and Its Features
The Site is a gaming destination that may include, now or in the future: video content (including self-hosted and embedded videos), written and video game reviews, per-game wikis and knowledge bases, community forums, comment features, a newsletter, user accounts, and an online store. Features are added, changed, or removed over time. Some features are described as "coming soon" and may not be available when you visit.
Your use of specific features may be subject to additional posted rules or policies, including our Acceptable Use Policy and Privacy Policy, which are incorporated into these Terms by reference.
3. User-Submitted Content
The Site allows registered users to submit content, which may include wiki entries and edits, forum posts, comments, reviews, and other materials you choose to share ("User Content"). This Section governs all User Content.
3.1 Your responsibility. You are solely responsible for your User Content and the consequences of submitting it. You represent and warrant that: you own or have the necessary rights to submit it; it does not violate these Terms, the Acceptable Use Policy, or any law; and it does not infringe the intellectual property, privacy, or other rights of any person.
3.2 License you grant to us. By submitting User Content, you grant Midnight Gaming LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, display, and distribute that User Content in connection with operating, promoting, and improving the Site. This license exists so we can display your contributions, maintain the wiki and community, and run the Site. It continues for content that remains on the Site or that other users have interacted with (for example, quoted forum replies), even after you remove your copy, to the extent reasonably necessary. You retain ownership of your User Content.
3.3 Moderation and editing. Community and wiki content is subject to moderation. We (and moderators we authorize) may review, edit, reformat, correct, reject, remove, or refuse to publish any User Content at our discretion, with or without notice. Wiki entries in particular may be edited by us or by other contributors under a change-logged, version-tracked model, and your submitted text may be altered, merged, or superseded. We are not obligated to publish or retain any User Content.
3.4 No obligation to monitor. We may, but are not required to, monitor User Content. We are not responsible for User Content submitted by others, and User Content does not represent our views. You may encounter content you find objectionable; you use community features at your own risk.
3.5 Feedback. If you send us suggestions or feedback about the Site, you grant us an unrestricted right to use it without obligation or compensation to you.
4. Prohibited Conduct
Your use of the Site — including all User Content and community participation — is governed by our Acceptable Use Policy (AUP), which is incorporated into these Terms. The AUP prohibits, among other things, illegal activity, infringement, harassment, and abuse of Site features. Violating the AUP is a violation of these Terms and may result in content removal, account suspension or termination, and referral to law enforcement where appropriate. You must read and comply with the AUP.
5. Intellectual Property
5.1 Our content. Except for User Content, all content on the Site — including videos, reviews, wiki structure and original wiki text, text, graphics, logos, the "Mr. Midnight" and "Midnight Gaming" brands, page designs, the review rating system, and software — is owned by Midnight Gaming LLC or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use, subject to these Terms.
5.2 Restrictions. You may not copy, reproduce, distribute, republish, scrape, data-mine, frame, or create derivative works from the Site or its content except as expressly permitted, or as allowed by applicable law (such as fair use). You may not remove any copyright or proprietary notices.
5.3 Third-party game content. The Site references and provides information about third-party video games. Game titles, characters, images, and related materials are the property of their respective owners. The Site is an independent gaming destination and is not affiliated with, endorsed by, or sponsored by any game publisher or developer unless expressly stated. Game-related content is provided for informational, editorial, and community purposes.
5.4 Copyright complaints (DMCA). We respect intellectual property rights and respond to notices of alleged infringement. If you believe content on the Site infringes your copyright, send a written notice to our designated contact at dmca@mrmidnight.com including: identification of the copyrighted work; identification of the allegedly infringing material and its location on the Site; your contact information; a statement of good-faith belief that the use is not authorized; a statement under penalty of perjury that the information is accurate and that you are authorized to act; and your physical or electronic signature. We may remove allegedly infringing material and terminate repeat infringers.
6. Purchases and the Online Store
This Section applies if and when the Site offers products for sale.
6.1 Store. The Site may offer merchandise or other products for purchase through an online store. Product descriptions, pricing, and availability are subject to change and may contain errors; we reserve the right to correct errors and to cancel orders affected by them.
6.2 Payment processing. Payments are processed by third-party payment processors (for example, Stripe). By making a purchase, you agree to the applicable processor's terms and authorize us and the processor to charge your payment method. We do not store full payment card numbers; card data is handled by the processor. See our Privacy Policy for how purchase-related information is handled.
6.3 Orders, shipping, returns. Order acceptance, shipping timelines, taxes, and returns/refunds are governed by the policies posted at the point of sale or in a separate store policy at the time of purchase. Placing an order is an offer to buy; we may accept or decline it.
6.4 Pricing and taxes. Prices are shown in the currency indicated at checkout and may exclude applicable taxes and shipping, which are added where required.
7. Third-Party Links, Embeds, and Services
The Site may contain links to, or embed content from, third-party websites and services (for example, video platforms, social media, and analytics providers). We do not control and are not responsible for third-party content, sites, or services, or their privacy and data practices. Your use of third-party services is governed by their terms. Embedded third-party content may collect information about you as described in our Privacy Policy.
8. Advertising and Sponsorships
The Site may display advertising or sponsored content, and we may enter business relationships with advertisers, sponsors, or other partners. Where content is sponsored, we will identify it as required by law. Our handling of your information in connection with advertising and partnerships is governed by our Privacy Policy, which reflects our commitment to limiting the sharing of your personal information (see the Privacy Policy for details).
9. Disclaimers and Limitation of Liability
9.1 "As is." The Site and all content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, that content (including wiki, review, and game information) is accurate, complete, or current, or that any content will remain available.
9.2 Informational content. Reviews, ratings, wiki entries, game guides, and other editorial content reflect opinions and community contributions and are provided for informational and entertainment purposes. Game information can change with game updates; build-tagged entries reflect a particular game version and may not apply to yours. You rely on such content at your own risk.
9.3 Limitation of liability. To the fullest extent permitted by law, Midnight Gaming LLC and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Site, User Content, or any third-party content or conduct, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site or these Terms will not exceed the greater of the amount you paid us, if any, in the twelve months before the claim, or one hundred U.S. dollars ($100).
9.4 Jurisdictional limits. Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some of the above may not apply to you. In such cases, our liability is limited to the maximum extent permitted by law.
10. Suspension and Termination
10.1 By you. You may stop using the Site at any time and may request deletion of your account as described in our Privacy Policy.
10.2 By us. We may suspend, restrict, or terminate your access to the Site or any feature, remove your content, or close your account, at our discretion, with or without notice, including for violations of these Terms or the AUP, for conduct we believe is harmful or unlawful, or to protect the Site or other users.
10.3 Effect. Upon termination, your right to use the Site ceases. Sections that by their nature should survive — including intellectual property, User Content licenses, disclaimers, limitation of liability, indemnification, and dispute provisions — survive termination.
11. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Midnight Gaming LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site, your User Content, your violation of these Terms or the AUP, or your violation of any law or the rights of any third party.
12. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date reflects the most recent version. Material changes will be indicated by updating that date and by providing additional notice, such as through a prominent notice on the Site or an email to the address associated with your account. Your continued use of the Site after changes take effect constitutes acceptance. If you do not agree to the updated Terms, stop using the Site.
13. Governing Law and Disputes
13.1 Governing law. These Terms are governed by the laws of the State of Wyoming and applicable U.S. federal law, without regard to conflict-of-law principles.
13.2 Venue. Except where prohibited, you agree that any dispute not subject to another agreed process will be resolved in the state or federal courts located in Wyoming, and you consent to their jurisdiction.
13.3 Informal resolution and arbitration. Before filing a claim, you agree to try to resolve the dispute informally by contacting us. Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Site that is not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. You and Midnight Gaming LLC agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
14. General
14.1 Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any policies posted at the point of use, are the entire agreement between you and us regarding the Site.
14.2 Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
14.3 No waiver. Our failure to enforce any provision is not a waiver of it.
14.4 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
